Birmingham International Holdings Announce EGM

Birmingham International Holdings today announced that the much awaited EGM to gain shareholder approval for the new placing of shares and deed of novation will be held on February 5

The 84 page announcement details in full the proposals to shareholders.

Edit 17:00 BST 16 January

There is a key paragraph in the document that outlines that the company expect shares to resume trading on February 15. However, they do note that there are circumstances beyond their control that may prevent that. For shares to resume trading, a list of announcements need to be made including what the company are going to do with BCFC. That alone I believe is worth waiting for.

    got to be good news.

    Although too late for this transfer window, that was expected. Fingers crossed they sell up after the trial has finished.

    To be honest Dan, with all the delays I will believe it when you post “EGM has taken place and all proposals accepted”
    I can’t think of an actual event arranged by BIHL has taken place on the allocated date.
    Still it has to happen sooner or later and hopefully they will agree for once and we can move on.
    It will not help this window but might give us renewed hope for the summer.

    All this reminds of the whip and top I had as a kid. BIHL do a little bit here.. an announcement there.. whipping the top every so often just to keep it spinning. (I’m sure posters of a certain age will know what I mean.) ;-)

            I’ve followed the Blues for 44 years. I’ve seen some ups and plenty of downs… but I count myself priviliged to support the best club in the world. We may not win much, but we appreciate it when we do.

            We could support Man U, winning trophies every season… but how boring would that be? ;-)

            Supported them for 53 years, though the Roma and Barca games were highlights I was too young to appreciate there significance back then.
            Seen some great games and players, even met some of the worlds greats, Sir Stan Matthews, Bobby Moore and the England of 66 squad, Sir Alf when he was Blues manager, the 70’s for me were some of the best Blues teams.
            You can stick your Man U’s and Chelski’s, we have the best supporters, the small die hards that are there regardless.
            I have lived all over this country but never have I considered supporting anyone else, yes I live in Nottingham now and look to see if I can taunt my in-laws and neighbours, but Birmingham City is and always will be my blood.

    Page 47 is of interest:

    Subject to, among others, the approval of the subject transactions at the EGM and
    fulfilment of the outstanding resumption conditions, the Company expects trading of
    the Shares to resume on or before 15 February 2014.

      Well this is what the independent financial advisers say (page 56):

      We are of the opinion that the Company is on the verge of serious financial difficulty
      if Mr. Yeung was not financially supporting the Group in the previous years.

        I don’t understand the use of English tenses in the quote about Carson’s support on Page 56.

        It says:-
        “……. IS on the verge of serious financial difficulty…..”

        Then says:-
        ” if Mr. Yeung WAS NOT financially supporting the Group in the previous years”.

        In the second part, do they really mean:-
        ” if Mr. Yeung HAD NOT BEEN financially supporting the Group in the previous years”.

        and if that is true, then the first bit perhaps should have said:-
        “……. WOULD BE on the verge of serious financial difficulty…..”.

        The question is, is this statement saying the organisation IS on the verge of financial difficulty OR it is NOT,
        and if it IS in financial difficulty (as stated in part 1) then WHY is it talking about Mr. Yeung’s support in the second part, as though he had been able to improve the position?

        It is late at night, but can anyone untangle just what is meant by this sentance on Page 56, or is it perhaps intentionally badly worded to confuse?

        PLEASE, no adverse comments on my long winded point.
        This IS a serious matter.

          Carson has not been able to support the group financially since his arrest in June 2011 and thus the group is in financial difficulty. Prior to that he was and they weren’t.

            Yes, thank you Dan. I CAN see the point they are trying to make now, and it does make sense.

            The wording in the document is as follows:-

            We are of the opinion that the Company is on the verge of serious financial difficulty
            if Mr. Yeung was not financially supporting the Group in the previous years.

            BUT perhaps it should have been worded something like:-

            We are of the opinion that the Company is on the verge of serious financial difficulty
            AS Mr. Yeung HAS NOT BEEN financially supporting the Group in previous years.

            OR EVEN,

            We are of the opinion that the Company is on the verge of serious financial difficulty
            AS Mr. Yeung HAS NOT BEEN ABLE TO financially support the Group in previous years.

            Anyway, I get it now. Thanks for your time.

    Its a race against time for Carson to get this done before the result of the court case. It appears that if the shares are re-listed then there is some kind of sensible strategy to move forward into some sort of Chinese control. I think if a re-listing is not successful before the verdict then things could spin out of control for the current owners and we are in a scenario where administration becomes more likely. God knows which is the best outcome.

    I agree, were it not for Dan we would all be believing Tom Ross and still be in the dark.
    This is by far the most informative site for anything regarding BCFC, the fact we can also comment and ask questions, plus the little banter between the many fans who join in makes this the first place I visit.
    As in the real world, there are those that abuse the privilege and, fair play to Dan he has been, in general, polite in requesting certain topics are treated sub judice, but some have crossed the line.
    It is Dan’s site and as the owner he is responsible for all of our actions and I would not blame him for closing down if people are not behaving. The minority could lose this great blog through their irresponsibility.
    If Dan was in court because of the few, how many of us would be standing next to him.
    To all respondents to this blog, please respect the owner and his request, don’t be responsible for losing the only true source of BCFC information.

    Erpa, it appears that all of the refinancing and restructuring moves for BIH that have been put into place are dependent upon the shares being re-listed. It looks like unless the re-listing takes place before a possible conviction of CY then things will get very complicated as the Hong Kong authorities could potentially sequestrate CY’s shares. This would happen at a time when BIH cashflow was in dire straits and therefore the whole situation becomes very uncertain. Although CY has always had a minority shareholding no one can deny that he has acted if in full control since taking over.I can’t see how he can control things anymore if convicted.

    comment removed – When I disable comments the idea is that I don’t want it discussed on the site – mainly cos I don’t have time to police what could be a very emotive comments section. I understand that you might not like what I said and I take that on board but it’s my opinion – it’s not fact or anything else, just my opinion. That’s all OP actually is when it comes down to it – what I can find out and what I think about it.
